Minutes of Special Meeting of PaBIA Directors’ (via Zoom) April 7th, 2024
Directors Present: David Sharpe, Mark Gwozdecky, Nancy Rogers (Secretary-Treasurer), Mike Berton, Catherine Fairlie, Katie Findlay, Trudy Irvine, Lloyd Posno, Mary Thomson

The meeting opened with a Land Acknowledgement by Vice President Mark Gwozdecky.
Motion to Appoint Elise Findlay as Recording Secretary – Mary Thomson.
Nancy Rogers is PaBIA’s current Secretary-Treasure. She is also a Director of the PaBIA Board.
Nancy will exercise her role as Director in the roll call vote of Directors on today’s motion.
Elise Findlay is the Board’s current recording secretary for Board Meetings and is anticipated to
take over Nancy’s formal role as Secretary-Treasurer of the Board after the election of the new
Board on August 3, 2024 at the Annual Meeting of Members.
Motion: It was moved that Elise Findlay will be the Recording Secretary for today’s Special
Meeting of PaBIA Directors. Moved by: Nancy Rogers; Seconded by: Mark Gwozdecky.

Confirmation of Purpose of Special Meeting and Description of today’s Roll call vote on
Motion to Discontinue: Mary Thomson
Mary outlined of the purpose of today’s Special Meeting and the process for voting by way of roll
call. Prior to the vote being taken, all Directors confirmed that they had received and reviewed
previously circulated documents including an overview of the issues raised, a draft Motion to
Discontinue the Marine Patrol Program, effective immediately. Ahead of the in-person meeting,
four Absentee Directors forms were received from Directors unable to attend.
Motion: It was moved by Cath Fairlie and seconded by Mark Gwozdecky that the Marine Patrol
program of the Pointe au Baril Islanders’ Association be discontinued, effective immediately.
Vote: By way of a roll call vote, the Directors of the Board passed the above Motion unanimously.
No votes opposing the motion and no abstentions were reported.
Confirmation of Motion to Discontinue the Marine Patrol Programme of PaBIA: Dave Sharp
Adoption of the Motion was confirmed by Dave Sharp. Dave thanked the sub-committee for its
work with the Marine Patrol Program. He reminded all Directors to refer member questions to
Catherine, Dave, and Mark and or to refer to the previously circulated Communications Plan.
